Article I. Name
The name of this organization shall be the WKAR RADIO & TV Community Advisory Board, hereafter known as the Board.
Article II. Purpose and Duties
The purpose of the Board is to reflect and communicate the needs and the interests of the community to station management. Duties include advising station management on such topics as general station policy and programming goals; heightening community awareness; advocating for broad-based support of WKAR; identifying and encouraging new sources of funding for specific projects to improve or expand service to the community; reviewing and advising on legislation designed to improve the quality of public telecommunications; and considering other responsibilities as requested by station management.
Article III. Membership
Number, Manner of Selection, Terms of Office, Vacancies:
1. The Board shall be composed of at least fifteen (15) and no more than eighteen
(18) persons who reflect the diverse needs and interests of the communities served
by WKAR RADIO & TV.
2. Members will be elected to three-year terms by the Board. No Board member may serve for more than two consecutive three-year terms.
3. The official year of the Board shall be from July 1 to the following June 30. Three months prior to the final meeting of the year a Nominating Committee shall be convened. It shall be chaired by the Vice Chairperson and consist of at least three additional Board members appointed by the Chairperson. The Committee shall solicit names from Board members and other sources.
4. At the final meeting of the year (June), the Nominating Committee shall present a slate of candidates for nomination and election to Board membership.
5. Vacancies during the year may be filled by nomination from the Chairperson and a majority vote of the total Board.

Article IV. Officers
There shall be a Chairperson and a Vice-Chairperson of the Board elected annually by a majority vote of the total Board for a maximum of two one-year terms. The Nominating Committee shall submit Chairperson and Vice-Chairperson slate for nomination and election at the final meeting of the year.
Article V. Meetings
1. There shall be at least six meetings of the Board held each year.
2. One-third of the members of the Board shall constitute a quorum.
3. Each Board member is expected to attend (or have an excused absence for)
at least three of the Board's six regular meetings and participate in (or have
an excused absence for) two membership fundraising campaigns each year (September
- August). Board members are excused by giving prior notification of their
absence.
Article VI. Parliamentary Authority
The rules contained in Robert's Rules of Order, Newly Revised shall govern the Board in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
Article VII. Amendments
These bylaws may be amended by a majority vote of the total Board at any Board meeting. Proposed amendments shall be sent to Board members 14 days in advance of any meeting at which they are to be voted upon.
